1. Service Description

Aydo Technologies Private Limited ("we," "us," or "our") operates Ask Aydo, an AI-powered digital document library service that helps users securely store, organize, and query important documents via WhatsApp integration.

2. Account Registration and Eligibility

Eligibility Requirements:

  • You must be at least 18 years old to create an account
  • You must have a valid WhatsApp account and phone number
  • You must provide accurate and complete registration information
  • You must not be prohibited from using our services under applicable law

Account Security:

You are responsible for maintaining the confidentiality of your WhatsApp account and phone number used to access Ask Aydo. You agree to notify us immediately of any unauthorized use of your account.

Account Verification: We may require additional verification for certain features or subscription tiers.

One Account Per User: Each individual may maintain only one Ask Aydo account.

Account Verification (Family Plan): Identity verification is required for Family plan emergency access setup.

Family Members: Family plan users may add up to 4 additional family members under a single subscription.

3. Acceptable Use Policy

You agree to use Ask Aydo only for lawful purposes and in accordance with these Terms. You agree NOT to use the service:

Prohibited Content:

  • To store or transmit illegal, harmful, threatening, abusive, or defamatory content
  • To store copyrighted material without proper authorization
  • To store malicious software, viruses, or harmful code
  • To store content that violates privacy rights of others
  • To store content related to illegal activities or criminal enterprises

Prohibited Activities:

  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Interfering with or disrupting the service or servers
  • Using automated systems to access the service beyond normal usage
  • Reverse engineering, decompiling, or attempting to extract source code
  • Sharing your account access (including WhatsApp number, OTP codes, or web login) with unauthorized parties
  • Using data scraped or extracted from our service to build a competing product

Content Monitoring: While we respect your privacy, we reserve the right to review content that may violate these terms or applicable law. Our AI systems automatically filter out non-document content (memes, screenshots, etc.) to maintain library quality.

For the treatment of non-document files and uploads, service usage limits, upload suspension and reinstatement, and removal of prohibited content, see Sections 4 through 7 below.

4. Non-Document Content

Ask Aydo is a document vault. It is designed exclusively to organise, store, and retrieve your important personal documents - such as identity cards, insurance policies, bank statements, certificates, and similar records.

Non-document files are never added to your vault. Files that are not documents - including selfies, memes, forwarded images, stickers, GIFs, audio clips, and videos - are not added to your document vault.

Transient hold for support or dispute review: In limited circumstances (for example, where you have raised a dispute about whether a file was correctly identified), a flagged file may be held transiently for review. Even then, the file is not added to your vault, retained temporarily in case of a dispute and then automatically deleted - it is encrypted at rest and automatically purged at the end of the retention window. It is never stored in your document vault.

5. Fair Use & Service Protection

Ask Aydo operates on shared infrastructure. Messaging quota, processing capacity, and AI resources are finite and are shared across all users of the service.

Impact of repeated non-document uploads: Repeatedly sending files that are not documents - such as images, audio, or video - consumes shared service capacity (messaging quota, processing resources) and degrades service quality for other users, even though each non-document file is not added to any vault.

Service protection measures:To protect service quality for all users, we may throttle, rate-limit, suspend, or otherwise restrict upload access where usage patterns place disproportionate load on shared resources. These measures are applied proportionately and are described further in Section 6 (Suspension & Reinstatement).

6. Suspension & Reinstatement

Upload suspension: Where a usage pattern involves repeated non-document or junk uploads, we may temporarily suspend your ability to upload new files and to send voice-note questions (which consume additional processing capacity). Your ability to search, query by typing, and access documents already in your vault remains fully available throughout any suspension period.

Automatic lift: An upload suspension automatically lifts over time once the pattern of non-document uploads subsides. You do not need to contact us for a standard suspension to be lifted.

Hard block: A persistent or particularly severe pattern of misuse may result in a hard block on uploads. A hard block does not auto-lift; to request reinstatement, please contact our support team at legal@askaydo.ai.

Specific thresholds and scoring are operational parameters that we may adjust from time to time. They are not contractual commitments and are not published in these Terms.

7. Prohibited Content

Content that is illegal or otherwise prohibited under applicable law is not stored in Ask Aydo. Where such content is identified, it is removed immediately and permanently - it is not quarantined or retained in any form.

Reporting: We may report prohibited or illegal content, and information about the upload, to the appropriate authorities where we are required or permitted to do so by applicable law.

8. Intellectual Property Rights

Your Content: You retain all ownership rights to documents and content you upload to Ask Aydo. By using our service, you grant us a limited license to process, store, and analyze your content solely to provide our services.

Our Service:Ask Aydo's software, AI models, algorithms, and related intellectual property are owned by Aydo Technologies Private Limited and protected by copyright, trademark, and other laws.

AI-Generated Metadata: Metadata and tags generated from your documents belong to you; the underlying models and processes remain ours.

Feedback and Suggestions: If you provide feedback, suggestions, or ideas about Ask Aydo, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback without compensation.

Third-Party Content: You are responsible for ensuring you have rights to upload and store any third-party content in your document library. We are not responsible for copyright infringement claims related to your uploaded content.

Copyright Takedown: If you believe content stored on our service infringes your copyright, contact us at legal@askaydo.ai with details of the work, your rights, and the location in our service. We will review and act on legitimate requests in accordance with applicable law.

9. Payment Terms and Subscription Management

Plans: Current plans, prices, document limits, and features are listed on our pricing page and may change from time to time. The pricing page is the authoritative source.

Billing and Payment:

  • Subscription fees are billed in advance on the cadence shown on our pricing page
  • Payment is due upon subscription activation
  • We accept the payment methods supported on our site at the time of purchase
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for recurring subscription fees

Price Changes: We may change subscription prices with reasonable advance notice. Price changes will take effect at your next billing cycle. You may cancel before the price change takes effect.

Failed Payments: If payment fails, we will attempt to collect payment during a reasonable grace period. After that, your account may be suspended until payment is resolved.

Upgrades and Downgrades: You can change your subscription tier anytime. Upgrades take effect immediately with prorated billing. Downgrades take effect at your next billing cycle.

Taxes: You are responsible for all applicable taxes. Prices are exclusive of taxes unless otherwise stated.

10. Service Availability and Maintenance

Service Availability: While we strive for high availability, we do not guarantee uninterrupted access to Ask Aydo. The service may be temporarily unavailable due to scheduled maintenance, emergency security patches, third-party service disruptions (including WhatsApp outages), network connectivity issues, or force majeure events beyond our control. We will give reasonable advance notice of planned maintenance when feasible.

Data Backup: We maintain regular backups of your data, and Pro and Family users can enable Personal Cloud Mirroring for additional protection.

Service Modifications: We may modify, suspend, or discontinue any aspect of the service at any time. We are not responsible for WhatsApp outages, policy changes, or account restrictions that may affect your access to Ask Aydo.

11. Limitation of Liability and Disclaimers

DISCLAIMER OF WARRANTIES:THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WHILE our AI systems are highly accurate, we do not guarantee perfect OCR, classification, or data extraction; you should verify important information and maintain originals where critical accuracy is required. Ask Aydo is not a substitute for professional legal, financial, medical, or other advice and should not be relied upon for critical decisions.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

EXCLUDED DAMAGES: WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your account
  • Damages caused by third-party services (including WhatsApp)
  • Damages from service interruptions or data loss

12. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Jurisdiction: The courts at Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the service.

Informal Resolution: Before filing any legal action, you agree to first contact us at legal@askaydo.ai to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 60 days.

Arbitration: For disputes that cannot be resolved informally, the parties may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at Chennai, conducted in English by a sole arbitrator mutually appointed by the parties. This does not apply to claims for emergency injunctive relief or intellectual-property disputes, which may be brought in court directly.

13. Account Termination

Termination by You: You may terminate your account at any time by:

  • Requesting deletion via WhatsApp (the assistant will guide you through confirmation)
  • Contacting support at legal@askaydo.ai
  • Using account deletion options in our web portal (when available)

Termination by Us: We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees after the grace period
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our systems or other users

Data Retention After Termination:

  • We will securely delete your documents within 30 days of account termination
  • Some metadata may be retained for legal compliance purposes
  • Backup systems may retain data for up to 90 days for disaster recovery
  • You can request immediate data deletion by contacting legal@askaydo.ai

Effect of Termination: Upon termination, your right to use Ask Aydo immediately ceases. Provisions regarding intellectual property, liability limitations, and dispute resolution survive termination.

No Refunds: Termination does not entitle you to refunds of prepaid subscription fees, except as required by applicable law.

14. Modifications to Terms

Right to Modify: We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices.

Notice of Changes: We will provide advance notice of material changes through one or more reasonable channels (such as in-product notification, WhatsApp message, email to registered users, or posting on our website). Minor changes such as typos or clarifications may be made without advance notice; in all cases the updated effective date will be reflected on the published Terms.

Acceptance of Changes: Continued use of Ask Aydo after the effective date constitutes acceptance of the updated Terms. If you do not agree to changes, you must terminate your account before the effective date.

Version Control: We maintain version history of our Terms for transparency. Previous versions are available upon request.

15. WhatsApp Integration and Third-Party Services

WhatsApp Relationship: Ask Aydo integrates with WhatsApp but is not affiliated with, endorsed by, or sponsored by WhatsApp Inc. or Meta Platforms, Inc.

WhatsApp Terms Apply:Your use of WhatsApp to access Ask Aydo is subject to WhatsApp's Terms of Service and Privacy Policy. We are not responsible for WhatsApp's policies or actions.

End-to-End Encryption:WhatsApp's end-to-end encryption protects messages in transit. Once we receive your documents, they are processed and stored according to our security measures described in our Privacy Policy.

WhatsApp Limitations:We are not responsible for WhatsApp service outages, account suspensions or restrictions, changes to WhatsApp's API or policies that affect our service, or WhatsApp's handling of your messages or data.

Alternative Access: Alternative access methods, such as our web dashboard, may be available.

Third-Party Integrations:Pro and Family users may connect third-party cloud services. Each integration is subject to the third party's terms and privacy policies.

16. AI Processing and Data Rights

AI Processing Functions: Our AI systems perform automated text recognition, classification, PII detection, indexing, and similar processing on your documents in order to provide the service.

Automated Decision-Making: Our AI makes automated decisions about document classification and content filtering. If you believe an AI classification is incorrect, you may contact us and we will review reasonable requests.

AI Training and Your Data: We do NOT use your personal documents to train general AI models or improve services for other users. Your data remains private and is used only to provide services to you.

Accuracy Limitations: While our AI is highly accurate, it may occasionally make errors in OCR, classification, or data extraction. You should verify critical information and can always correct AI-generated metadata.

AI Model Updates: We regularly update our AI models to improve accuracy and add new features. Updates may change how your existing documents are processed or classified.

17. Dead Man's Switch - Ownership Transfer (Family Plan)

Feature Summary:Family plan account owners may configure a Dead Man's Switch that transfers full ownership of the account to a designated heir if the owner becomes inactive for an extended period. This is an ownership transfer of the entire account, not a temporary or scoped access grant.

Eligibility of the Heir:

  • The heir must be an existing, active family member on the same account at the time the switch is configured and at the time it fires.
  • Only one heir may be designated per switch.
  • If the heir is removed from the account, declines, or becomes inactive before the switch fires, the switch is automatically disabled and must be reconfigured.

Activation Conditions:

  • The account owner has been inactive for the configured inactivity window. The window is set by the owner at configuration time and may be anywhere from 30 to 365 days.
  • The owner does not respond to a sequence of automated check-in notifications delivered via WhatsApp and email during the inactivity window.

Effect of Activation:When the switch fires, the heir becomes the new account owner. The heir receives full access to all documents in the library (the same access the original owner had), can invite or remove family members, and is responsible for the account's subscription and any future actions taken on it. There is no separate "emergency" or time-limited scope; the heir holds the same role the owner held.

Notification and Reclaim Window: Before the transfer becomes irrevocable, both the owner and the heir receive notifications. The owner may reclaim the account during a defined reclaim window by responding through WhatsApp, email, or the web dashboard. Reclaiming within the window reverses the transfer and reactivates the switch.

Encryption Scope:Documents are encrypted at rest on our servers (AES-256-GCM). The Dead Man's Switch operates server-side: when the switch fires, ownership of the existing data is reassigned. It does not provide client-side or zero-knowledge encryption, and we retain the technical ability to access the documents on the owner's behalf during the ownership transfer.

Audit Trail: Every state change - configuration, check-in, warning notification, transfer, reclaim, and revocation - is written to a tamper-evident audit log retained for the life of the account.

Revocation: The owner may disable or reconfigure the switch at any time from the web dashboard. Disabling stops all inactivity tracking immediately.

Liability Limitations: We are not responsible for:

  • Disputes between family members arising from a completed ownership transfer.
  • Actions taken by the heir after the transfer completes.
  • False activation caused by temporary inactivity, provided the configured check-in notifications were delivered.
  • Loss of access where the heir was removed from the account or became inactive before the switch fired and the owner did not reconfigure the switch.
